Please read these Terms of Service (“Terms”) carefully before enrolling in or using the Upward Spiral Program.
By creating an account, starting a free trial, or purchasing a subscription, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use this program.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (“you” or “Participant”) and Upward Spiral Program
(“we,” “us,” or “our”), a wellness education service based in Vancouver, British Columbia, Canada, operating at
upwardspiralprogram.com. By accessing or using the Upward Spiral
Program website, platform, or any content delivered through it, you confirm that:
- You have read, understood, and agree to be bound by these Terms;
- You are at least 18 years of age; and
- You have the legal capacity to enter into a binding agreement.
The Upward Spiral Program is designed for adults aged 18 and over. If you are under 18 years of age, please do not
use this Service. We do not knowingly collect personal information from or provide services to anyone under 18.
2. Description of the Service
The Upward Spiral Program is a digital, self-guided wellness and personal development subscription program. It is
delivered through an online learning platform (LearnDash on WordPress) and consists of 52 weeks of structured
wellbeing content released on a weekly drip schedule. Each week of content includes:
- Reading materials and educational articles;
- A full-length guided meditation audio and a shorter “mini” meditation audio;
- Practical exercises and activities; and
- Reflection prompts and journaling guidance.
Your access to the program begins on your enrollment date and remains active for 480 days (approximately
15 months) from that date, regardless of when your subscription billing ends.
2.1 Not Therapy, Not Medical Advice
The Upward Spiral Program is a wellness education program, not a form of therapy, mental health treatment,
or medical care. The content provided — including all written materials, audio recordings, exercises, and
reflection prompts — is for educational and personal development purposes only. It does not constitute and must not
be relied upon as:
- Psychological or psychiatric therapy or counselling;
- Medical diagnosis or treatment;
- Clinical mental health services; or
- A substitute for advice from a licensed healthcare professional.
If you are experiencing a mental health crisis, thoughts of self-harm, or any medical emergency, please contact
a qualified healthcare provider or emergency services immediately. In Canada, you can reach the Crisis Services
Canada helpline at 1-833-456-4566 (24/7) or text 45645 (4 p.m. – midnight ET).
The Upward Spiral Program team is not able to provide crisis support.
3. Account Registration and Security
To access the Upward Spiral Program, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Keep your registration information updated;
- Choose a strong, unique password and keep it confidential; and
- Notify us immediately at hello@upwardspiralprogram.com
if you suspect any unauthorized access to your account.
Your account is personal to you. You may not share your login credentials with any other person or allow anyone
else to access your account. You are solely responsible for all activity that occurs under your account. We will
not be liable for any loss or damage arising from your failure to maintain the security of your account.
We reserve the right to suspend or terminate your account if we have reasonable grounds to believe that your
account credentials are being shared or that your account is being used in violation of these Terms.
4. Subscription Plans and Billing
4.1 Available Plans
The Upward Spiral Program offers two subscription plans:

Monthly Plan: CAD $45.00 per month, billed monthly for 12 consecutive months
(approximately USD $34.00/month). After 12 months of payments, you will not be billed further but your
access continues for the remainder of your 480-day access window. -
Annual Plan: CAD $399.00 as a single upfront payment
(approximately USD $299.00). This covers your full subscription for one year.
All prices are listed in Canadian dollars (CAD) unless otherwise stated. USD pricing is approximate and may
vary based on current exchange rates. Applicable taxes may be added at checkout depending on your location.
4.2 Free Trial
Both plans include a 10-day free trial starting from the date you enroll. During the free trial,
you will have full access to the program content available at that time. No charge will be made to your payment
method during the trial period.
To avoid being charged, you must cancel your subscription before the 10-day free trial period ends.
If you do not cancel before the trial ends, your chosen plan will automatically activate and your payment method
will be charged. See Section 5 for cancellation instructions.
4.3 Auto-Renewal
Subscriptions renew automatically unless cancelled:

Monthly Plan: Your subscription renews automatically each month on your billing date.
You will be charged CAD $45.00 (plus applicable taxes) at the start of each new monthly billing period,
for up to 12 billing cycles. After 12 successful monthly payments, billing stops automatically. -
Annual Plan: Your annual subscription does not auto-renew by default. We will notify you
before your access period ends if renewal options are available.
We will charge the payment method on file on the applicable billing date. If a payment fails, we may retry the
charge and/or suspend your access until payment is resolved. It is your responsibility to ensure your payment
information is current and accurate.
4.4 Price Changes
We reserve the right to change subscription pricing at any time. For existing subscribers on the Monthly Plan,
we will provide at least 30 days’ notice of any price change before it takes effect. Your continued use of the
program after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to
the new pricing, you may cancel your subscription before the new price applies.
We will not unilaterally amend the cancellation, return, or refund provisions of your subscription agreement in a way
that increases your obligations or reduces ours. Any such changes require your affirmative consent. This is consistent
with the requirements of the British Columbia Business Practices and Consumer Protection Act (BPCPA),
as amended.
5. Cancellation Policy
5.1 How to Cancel
You may cancel your subscription at any time by:
- Logging into your account on the platform and managing your subscription settings; or
- Contacting us by email at hello@upwardspiralprogram.com
with your cancellation request.
Please allow up to 3 business days for email cancellation requests to be processed. We recommend cancelling
at least 24 hours before your next billing date to ensure processing is completed in time.
5.2 Effect of Cancellation
When you cancel:
- No further charges will be made to your payment method after the current billing period.
- You retain full access to all program content until the end of your current paid billing period (for the
Monthly Plan) or until the end of your paid annual term (for the Annual Plan). - Access does not end immediately upon cancellation — you are entitled to the full period you have already paid for.
- After your access period ends, your account will be deactivated and you will no longer be able to access
program content.
Cancelling during the 10-day free trial means no charge will be applied to your payment method and your access
will end at the close of the trial period.
6. Refund Policy
6.1 No Refunds After Trial Period
Because the Upward Spiral Program is a digital content subscription with immediate access to protected educational
material, all sales are final once the 10-day free trial period has ended. We do not offer refunds,
partial refunds, or credits for:
- Unused portions of a current billing period after cancellation;
- Periods during which you did not log in or engage with the content;
- Subscription payments already charged for previous billing cycles; or
- The annual subscription fee after the trial period has passed.
6.2 Exceptions Required by Law
Nothing in this refund policy limits any rights you may have under applicable consumer protection law.
In particular:

British Columbia Residents: If you are a BC resident, you may have rights under the
Business Practices and Consumer Protection Act (BPCPA), including in circumstances involving
misleading representations or unfair practices. We will comply with any mandatory refund obligations
required under that Act or other applicable BC consumer protection legislation. -
European Union and United Kingdom Residents: If you are located in the EU or UK, you may
have a statutory 14-day right of withdrawal from distance contracts for digital services. However, by
accessing your program content during the free trial or after purchase (whichever applies), you expressly
consent to immediate performance of the contract and acknowledge that you lose your right of withdrawal
once access to digital content has begun and you have confirmed you waive the withdrawal period. If you
have not yet accessed any content, please contact us within 14 days of purchase to request a refund under
applicable EU/UK law.
To request a refund for any legally mandated reason, please contact us at

and reason for the request.
7. Subscription Hold / Pause Policy
7.1 Placing Your Subscription on Hold
We understand that life circumstances may prevent you from engaging with the program for a period of time.
You may request to place your subscription on hold by contacting us at
hello@upwardspiralprogram.com.
7.2 How a Hold Works
When your subscription is placed on hold:
- Billing is paused. No further charges will be made while your subscription is on hold.
- Access to program content pauses at the end of your current paid billing period. You retain
full access to content through the period you have already paid for before the hold takes effect. - Your progress through the weekly drip schedule is saved. When you reactivate your subscription, your content
drip schedule will resume from the point at which it was paused — you will not lose access to content you have
already unlocked, and you will not be fast-forwarded through content you have not yet reached. - Your 480-day access window may be extended to account for the hold period, at our discretion.
7.3 Reactivation
To reactivate a paused subscription, contact us at
hello@upwardspiralprogram.com. Reactivation will resume billing
at the then-current subscription rate, and your content access will recommence from where you left off.
8. Intellectual Property
8.1 Ownership
All content, materials, and resources within the Upward Spiral Program — including but not limited to written
articles, guided meditation audio recordings, exercises, worksheets, reflection prompts, graphics, logos, course
structure, and any other program materials — are the exclusive intellectual property of Upward Spiral Program and
are protected by Canadian and international copyright, trademark, and other intellectual property laws.
8.2 Limited License to Participants
Upon enrollment and for the duration of your active subscription, we grant you a limited, personal, non-exclusive,
non-transferable, non-sublicensable license to access and use the program content solely for your own personal,
non-commercial wellbeing and development purposes.
8.3 Prohibited Uses
You may not, without our prior written permission:
- Copy, reproduce, download, distribute, transmit, broadcast, or publish any program content;
- Share, sell, resell, or sublicense access to any program materials;
- Use program content for commercial purposes, including in any coaching, therapy, or educational programs;
- Create derivative works based on program content;
- Remove or alter any copyright, trademark, or proprietary notices from any materials; or
- Screen-record, screenshot, or otherwise capture audio or video content for distribution.
Any unauthorized use of our intellectual property may result in immediate termination of your account and may
subject you to legal liability.
8.4 Content Creation and AI Tools
The Upward Spiral Program is human-designed and editorially reviewed. All weekly content, including written
material, research summaries, and practice instructions, is developed by the program creator and grounded in
peer-reviewed research.
Certain production elements are created with the assistance of artificial intelligence (AI) tools. This includes
guided audio sessions, which use AI voice synthesis technology, and some visual assets such as illustrations and
infographics. These tools are carefully selected and supervised to ensure quality, warmth, and consistency with
the program’s tone and values.
AI tools are used as production aids. They do not make clinical, editorial, or participant-facing decisions.
The program creator retains full responsibility for all content delivered through the program.
9. Acceptable Use
By using the Upward Spiral Program, you agree that you will:
- Use the program only for lawful purposes and in accordance with these Terms;
- Not share your account login credentials with any other individual;
- Not attempt to gain unauthorized access to any part of the platform or any other user’s account;
- Not upload, post, or transmit any harmful, abusive, defamatory, or unlawful content through the platform;
- Not use automated tools (bots, scrapers, or crawlers) to access or extract content from the platform; and
- Not engage in any conduct that interferes with or disrupts the platform or its servers.
We reserve the right to suspend or permanently terminate your account, without notice or refund, if you are found
to be in violation of these acceptable use provisions.
10. Health and Wellness Disclaimer
The Upward Spiral Program is designed to support general wellbeing, personal growth, and the development of
positive habits and mindset. It is not a medical product and is not intended to diagnose, treat, cure, or prevent
any physical or mental health condition.
The program is not a substitute for professional mental health care, therapy, counselling, psychiatry,
or any other form of medical or clinical treatment. If you are living with a mental health condition,
have a history of trauma, or are currently working with a healthcare provider, we encourage you to consult your
provider before enrolling in this program or to use this program as a complement to — not a replacement for —
professional care.
Your participation in the Upward Spiral Program is entirely voluntary and at your own risk. We make no guarantee
that participation will produce specific outcomes, including improvements in mood, mental health, productivity,
relationships, or any other area of wellbeing. Individual results may vary.
11. Privacy
Your privacy matters to us. Our collection and use of your personal information is governed by our
Privacy Policy, which is incorporated into
these Terms by reference. By using the Upward Spiral Program, you consent to our data practices as described
in the Privacy Policy. We comply with applicable Canadian privacy laws, including the
Personal Information Protection and Electronic Documents Act (PIPEDA) and
British Columbia’s Personal Information Protection Act (PIPA).
12. Limitation of Liability
12.1 Disclaimer of Warranties
The Upward Spiral Program is provided on an “as is” and “as available” basis. To the maximum extent permitted
by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties
of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:
- The platform will be available at all times or free from interruptions, errors, or technical issues;
- The content will be accurate, complete, or up to date at all times; or
- The program will produce any specific personal, psychological, or health outcome for you.
12.2 Limitation of Liability
To the maximum extent permitted by applicable law, Upward Spiral Program and its owners, directors, employees,
contractors, and agents shall not be liable to you for any indirect, incidental, special, consequential, punitive,
or exemplary damages arising from or related to your use of — or inability to use — the program, including but not
limited to loss of data, loss of goodwill, service interruptions, or personal injury.
In all cases, our total aggregate liability to you for any claims arising under or related to these Terms shall
not exceed the total amount you paid to us in the three (3) months immediately preceding the event giving
rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent that
applicable law does not permit these exclusions or limitations, they shall not apply to you, and our liability
shall be limited to the minimum extent required by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Upward Spiral Program and its owners, employees, contractors,
and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable
legal fees) arising out of or relating to: (a) your use of the program in violation of these Terms; (b) your
violation of any applicable law or third-party right; or (c) any content or information you submit to the platform.
14. Termination
We reserve the right to suspend or terminate your account and access to the Upward Spiral Program at any time,
with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity,
or acted in a manner harmful to other participants or the integrity of the program.
In the event of termination by us for cause (i.e., violation of these Terms), no refund will be issued for any
amounts already paid. In the event of termination by us without cause, we will provide a pro-rated refund for any
unused portion of a prepaid annual subscription.
Upon termination or expiry of your subscription, your license to access program content ends immediately.
Provisions of these Terms that by their nature should survive termination — including intellectual property rights,
disclaimers, limitations of liability, indemnification, and governing law — will remain in effect.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the
federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms or your use of the Upward Spiral Program shall first
be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached informally within
30 days of written notice from either party, the dispute shall be submitted to the exclusive jurisdiction of the
courts of British Columbia, Canada.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief before a court of
competent jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or applicable
law. When we make material changes, we will:
- Post the revised Terms on this page with an updated effective date; and
- Notify active subscribers by email at the address associated with their account at least 14 days before
the changes take effect.
Your continued use of the Upward Spiral Program after the effective date of the revised Terms constitutes your
acceptance of those changes. If you do not agree to the updated Terms, you may cancel your subscription before
the changes take effect in accordance with Section 5.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Upward Spiral
Program with respect to your use of the program and supersede all prior agreements, communications, and
understandings on that subject.
17.2 Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision
will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not
possible, and the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
A waiver of any provision will only be effective if given in writing and signed by an authorized representative
of Upward Spiral Program.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign our rights and obligations under these Terms without restriction, including in connection with a
merger, acquisition, or sale of assets.
17.5 Force Majeure
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control,
including natural disasters, pandemic, government action, internet or telecommunications failures, or other
events of force majeure.
